Issue of Foreign Currency Denominated Senior Notes

SoftBank Group Corp. (“SBG”) announces that yesterday it determined the following terms and conditions for the issuance of its USD-denominated Senior Notes due 2023, USD-denominated Senior Notes due 2025, Euro-denominated Senior Notes due 2023 and Euro-denominated Senior Notes due 2025 (collectively, the “Senior Notes”). SBG plans to use the proceeds to redeem its USD-denominated Senior Notes and Euro-denominated Senior Notes issued in 2013 (collectively, the “2013 Notes”).

The terms and conditions are following:

1. USD-denominated Senior Notes

(JPY 48.2 billion*1)
2. Issue price 100% of the principal amount 100% of the principal amount
3. Interest rate 5.500% per annum 6.125% per annum
4. Interest payment Payable semi-annually in arrears on April 20 and October 20 each year

6. Maturity date April 20, 2023 April 20, 2025
7. Redemption at maturity Redemption in whole at maturity date at 100% of the principal amount
8. Early redemption Redemption in whole or in part at 100% of the principal amount on or after the date 90 days prior to the maturity date, or in whole or in part at 100% of the principal amount plus a “make-whole” premium at any time to the date 90 days prior to the maturity date
9. Expected closing date April 20, 2018
10. Offering region Overseas securities markets including Europe and Asia but outside of Japan and the United States
