Notice Concerning Changes of Representative Directors
and Important Personnel Changes

SoftBank Corp. (hereinafter the “Company”) announces that at the meeting of Board of Directors held on February 21, 2024, the Company resolved on the changes of its Representative Directors, etc., as of April 1, 2024, as follows.

    Ken Miyauchi, utilizing his experience as our Chairman and President, will continue his external activities and retain certain senior positions as a Special Advisor to the Company. He is anticipated to step down from the position of Director upon the expiration of his term at the conclusion of the 38th Annual General Meeting of Shareholders to be held in June 2024 (tentative).

2. Reason for change

The Company is committed to enhancing medium- to long-term corporate value and further strengthening its system to establish and ensure the succession of a next-generation management structure. In line with this objective, we will delegate the responsibilities for the Consumer and Enterprise businesses, which are currently overseen by our Representative Directors, to the next generation of Executive Officers. The two Representative Directors currently in charge of these businesses will utilize their past experiences to supervise operations and facilitate the Company's overall management decision-making, thereby accelerating and improving the establishment of a next-generation management structure.

As part of these efforts, Yasuyuki Imai, who currently holds the position of Representative Director & COO, Head of Enterprise Business Unit, will assume the role of Director & Chairman effective April 1, 2024. Alongside Junichi Miyakawa, Representative Director, President & CEO, and Jun Shimba, Representative Director & COO, Head of Consumer Business Unit, he will continue to lead the entire company and assume some of the responsibilities currently held by Ken Miyauchi, the current Director & Chairman. Ken Miyauchi will facilitate the transition of his roles to Yasuyuki Imai and engage in external activities utilizing his past experiences. While progressing with the succession process, he will also continue to fulfill specific senior positions within the organization.

1. Organizational reform

In line with the abovementioned changes, we will conduct an organizational reform effective from April 1, 2024. In line with the establishment of a system where the next generation of Executive Officers will oversee businesses, the Enterprise Business Unit will be renamed to the Enterprise Unit. Also, we will reorganize the Consumer Business Unit and establish three new units: Consumer Sales Unit, Consumer Business Promotion Unit, and Consumer Strategy / Customer Care Unit.
